Terms and Conditions of Use

These "Terms and Conditions" ("Terms") govern the access to and use of the Onflexa CRM software, its web application, and all related services (collectively, the "Service"), provided by [Your Company Name/Controller Name] ("Onflexa", "us", "we").
Please read these Terms carefully before using the Service. By accessing or using the Service, you ("User", "you") agree to be bound by these Terms. If you do not agree with any part of the Terms, you may not access the Service.
1. User Account
To use the Service, you must create an account. The User is responsible for safeguarding their account, login credentials, and all activities that occur under their account. The User agrees to notify us immediately of any security breach or unauthorized use of their account.
2. License to Use
Subject to compliance with these Terms, Onflexa grants the User a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for internal business purposes.
The User may not:
- Modify, copy, or create derivative works based on the Service.
- Reverse engineer, decompile, or attempt to extract the source code of the Service.
- Sell, rent, sublicense, or otherwise transfer rights to the Service to any third party.
- Use the Service for illegal purposes or to violate any applicable laws.
3. User Data
The User retains full ownership of all data, information, or materials entered into the Service ("User Data"). The User grants Onflexa a limited-time, non-exclusive right and license to host, copy, transmit, and display User Data solely for the purpose of providing and improving the Service.
The User is solely responsible for the accuracy, quality, integrity, and legality of their User Data. You warrant that you have all necessary rights to upload and process User Data within the Service.

4. Third-Party Services
The Service may allow integration with third-party services (such as Google and IMAP providers). The use of such services is subject to the terms and privacy policies of those third parties. Onflexa is not responsible for the practices of such third-party services, nor for any loss or damage resulting from the use of such integrations.
5. Payments and Subscriptions (If applicable)
Access to the Service beyond a trial periodi require the payment of fees ("Fees").
All Fees are billed in advance monthly or annually based on the choice of the user and are non-refundable, except as otherwise provided.
6. Disclaimer of Warranty
The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied. Onflexa does not warrant that the Service will be uninterrupted, secure, error-free, or that it will meet the User's specific needs.
To the maximum extent permitted by law, Onflexa disclaims all warranties, including, but not limited to, the warranty of merchantability, fitness for a particular purpose, and non-infringement.
7. Limitation of Liability
To the maximum extent permitted by law, Onflexa, its directors, employees, or affiliates shall in no event be liable for any indirect, incidental, special, consequential, or punitive damages (including, without limitation, loss of profits, data, goodwill, or other intangible losses) arising from:
- The access to or inability to access or use the Service.
- Any conduct or content of third parties on the Service.
- Unauthorized access, use, or alteration of the User's transmissions or content.
Onflexa's total liability for any claim arising from these Terms or the Service shall not exceed the amount paid by the User to Onflexa for the use of the Service in the twelve (12) months preceding the event giving rise to the claim.
8. Termination
We may suspend or terminate the User's access to the Service at any time, for any reason (including violation of these Terms), with or without notice.
Upon termination, the User's right to use the Service will immediately cease. The User is responsible for exporting their User Data prior to termination.
9. Changes to Terms
We reserve the right to modify these Terms at any time. If a modification is substantial, we will provide at least 30 days' notice before the new terms take effect. Continued use of the Service after the changes become effective constitutes acceptance of the new Terms.
10. Governing Law and Jurisdiction
These Terms shall be governed and interpreted in accordance with Italian law.
Any dispute arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the court of Florence, Italy.
For Users acting as Consumers residing in the EU, the jurisdiction of the Consumer's place of residence or domicile applies.
